Materials submitted (the “Materials”) become the property of the Recording Academy and Bruce Springsteen Archives & Center for American Music and will not be returned. By submitting the Materials, I hereby grant to the Recording Academy and Bruce Springsteen Archives & Center for American Music, and their successors, affiliates, licensees, subsidiaries and assigns, and any third parties authorized by one of the foregoing (collectively, “Recording Academy Parties”), the irrevocable right, license and authority in perpetuity and throughout the world to use, record, dub, amplify, reproduce, perform, represent, exhibit, televise, transmit, and simulate the Materials, as well as my name, image, likeness, voice and work product in any and all manners, forms, media, methods and processes now or hereafter known or devised, as part of and in connection with “Bruce Springsteen: Live!” (the “Exhibit”) and recordings thereof, and publicity and advertising materials associated with or related to the Exhibit or Recording Academy Parties. I acknowledge there are to be no protected assets in the Materials, and that everything provided is owned by me. I further acknowledge and agree that Recording Academy Parties shall have the irrevocable right, license, and privilege to reproduce, distribute, and otherwise use the Materials for both promotional purposes as well as for commercial sale throughout the world, in any and all manners, forms, media, methods and processes now and hereafter known or devised. All proceeds from any such uses or commercial sales will be entirely the property of the Recording Academy and Bruce Springsteen Archives & Center, and I acknowledge and agree that I will not be entitled to any royalties, fees or other payments from such activities and waive any claim to such payments. I further hereby release and waive any and all claims I may have against the Recording Academy Parties and their respective employees, officers and directors for any and all injuries, claims, damages, losses, costs or expenses of any kind arising from or related to my participation as part of the Exhibit, including without limitation my creation of the Materials. I further agree to indemnify and hold harmless the Recording Academy Parties from and against any and all third-party claims, liabilities, costs and expenses (including attorneys’ fees reasonably incurred) arising out of or related to any breach or alleged breach or violation of this document by me and my participation as part the Exhibit. This document and its interpretation shall be governed pursuant to California law, and I hereby consent to the exclusive jurisdiction and venue of California courts (state and federal) for any cases or controversies arising out of or related to this document. I further waive any and all objections to jurisdiction and venue in those courts.
